1. Agreement

These Terms govern access to Reqify provided by Custovia Inc., located in Delaware, USA. By registering, subscribing, inviting teammates, clicking through an order form, or otherwise activating the cloud service you agree on behalf of your organisation when you control the domain — and personally when you act as a sole proprietor.

2. Accounts & eligibility

Accounts must originate from truthful contact data. Administrators are responsible for offboarding dormant seats, revoking API tokens, enforcing organisation password policies, and promptly notifying Custovia upon suspected takeover. You certify you are eighteen or the age of digital majority wherever you reside.

3. Licences & restricted uses

Custovia grants a non-exclusive, non-transferable licence to invoke the SaaS remotely. Reverse engineering binaries, circumventing metering, redistributing our UI kit without authorisation, or training competing foundation models uniquely on scraped Reqify payloads is prohibited. Automated scraping outside sanctioned APIs may trigger suspension.

4. Customer data & confidentiality

“Customer Materials” encompasses documents uploaded, artefacts generated through your jobs, and metadata you knowingly sync. Custovia accesses live copies solely to troubleshoot, uphold SLAs (where contracted), fulfil legal summons, enforce policy, improve reliability when anonymised aggregates suffice, or as directed in your order. Unless a separate Data Processing Addendum exists, roles follow the Privacy Policy.

5. Credits, billing & experiments

Paying plans incur recurring fees via Stripe inclusive of enumerated credit pools. Trials or beta programmes may shorten notice windows; price changes propagate at renewal with email advisement except where law requires shorter notice or emergency adjustments. Taxes, currency conversion fees, and chargebacks belong to you except where statutes invert liability.

6. Third-party integrations

Clerk, Stripe, hosting providers, model hosts, webhook destinations — interoperability depends on their continued availability and timely rotation of your secrets. Custovia excludes liability when upstream SaaS alone causes degraded behaviour beyond our SLA.

7. Warranties & disclaimers

Reqify ships “AS IS” and “AS AVAILABLE” without implied warranties beyond statutory minima. Custovia disclaims merchantability/fitness absent a separately signed SLA addendum naming express uptime credit mechanics.

8. Limitation of liability

To the maximal extent permitted, Custovia’s aggregate liability for Free/Beta users does not exceed fifty US dollars ($50) per rolling twelve months; Paid accounts follow either the capped amount in your order form or, if unstated, the fees paid in the three months before the claim. Neither party bears liability for indirect or consequential losses except intentional misconduct or personal injury cases statutes carve out from waivers.

9. Indemnity

You indemnify Custovia against third-party allegations arising from your Customer Materials infringing intellectual property rights, violating export embargoes, or misusing AI outputs commercially without rights clearance where you asserted sole responsibility.

10. Termination

Either party may cancel monthly subscriptions respecting billing-cycle endings. Serious policy breaches may trigger immediate suspension with following notice where practical. Confidentiality disclaimers, limitation clauses, accrued fees survive closure.

11. Governing law & venue

Delaware law governs absent mandatory consumer protections assigning another forum nearer you. Courts in Wilmington suffice except where statutes assign exclusive jurisdictions. If a tribunal voids any clause remainder stays effective proportionately.
